Can I run two businesses under one Hong Kong company

Yes, a single Hong Kong company can run multiple businesses, as long as each activity is legal and properly licensed if required.

Can I Run Two Businesses Under One Hong Kong Company

Yes. A single Hong Kong private company limited by shares can legally operate two or more distinct businesses. The Companies Ordinance (Cap. 622) does not restrict a company to a single business activity. Your company's articles of association and the scope of its objects, if any, determine what you can do.

Multiple Business Activities One Company HK

A Hong Kong company may undertake any lawful activity its articles of association permit. Most companies adopt the model articles in the Companies Ordinance, which place no limits on the number or type of businesses. The Certificate of Incorporation from the Companies Registry does not list intended activities. You file your articles at incorporation, and if they do not limit the company's objects, the company can pursue any lawful business.

This means one company can trade electronics, provide consulting, and hold investment property under a single legal entity. The Business Registration Certificate issued by the Inland Revenue Department under Cap. 310 covers all activities. It does not list separate trades. You file one annual return (Form NAR1) and one profits tax return (Form BIR51) for everything combined.

Hong Kong Company Object Clause

Before the 2014 rewrite of the Companies Ordinance, a company had to state its objects in its memorandum of association and could only act within them. Since the current Ordinance took effect, a company's objects are unrestricted unless its articles state otherwise. Most new companies adopt the model articles, which contain no objects clause. The company therefore has the full capacity of a natural person to carry on any business.

If your company was incorporated before the 2014 Ordinance and its memorandum contains a narrow objects clause, the directors may amend the articles to remove the restriction. This requires a special resolution of the members. You notify the Companies Registry of the change on the appropriate form.

Separate Companies for Different Businesses HK

A single company can run multiple businesses, but there are reasons to use separate companies. The primary reason is liability containment. If one business carries a high risk of claims, such as property development or food manufacturing, a claim against that business could reach the assets of the company's other businesses if they are in the same entity. Separate companies create separate legal personalities, so a creditor of one business cannot pursue the assets of another.

Tax segmentation is another consideration. Hong Kong's two-tiered profits tax rates apply per company. A group of connected entities may only have one company elect the lower rate. Running multiple businesses in one company means all profits are aggregated and the two-tiered benefit applies only once. Separate companies could each claim the lower rate on their first HK$2,000,000 of assessable profits, provided they are not connected entities within the Inland Revenue Department's definition.

Administrative costs increase with each additional company. Each company requires its own statutory audit, annual return, Business Registration Certificate renewal, and company secretary. You must weigh the liability and tax advantages against the higher compliance burden.

Regulated Activities and Trade Licences

A single company may operate multiple businesses, but each regulated activity requires its own trade licence. The Business Registration Certificate is not a trade licence. If one business involves selling food, the company must apply to the Food and Environmental Hygiene Department for a food business licence. If another involves selling alcohol, a separate liquor licence from the Liquor Licensing Board is needed. The company holds the licence, but the licence is specific to the activity and the premises.

The same principle applies to financial services, employment agencies, travel agencies, and other regulated trades. The company may hold multiple licences, but each licence application is assessed independently. The company's registered office and articles of association are not relevant to the licensing decision.

Practical Steps

If you run two businesses under one Hong Kong company, keep separate accounting records for the income and expenditure of each activity. The Inland Revenue Department may request a breakdown if one business is loss-making and the other is profitable. The statutory audit covers the company as a whole, but the auditor will need sufficient detail to verify the combined financial statements.

If you later decide to split the businesses into separate companies, you can transfer the assets and trade of one business to a new company. This may trigger stamp duty on the transfer of assets and require a tax clearance from the Inland Revenue Department.
