Section 474 of the Companies Ordinance (Cap. 622) requires every Hong Kong incorporated company to appoint a company secretary at all times. This is a statutory office, not an optional administrative position. When a secretary resigns, the company enters a period of non-compliance that must be resolved quickly.

If your company secretary resigns without a replacement in place, the company is in breach from the moment the resignation takes effect. The director or directors must manage the vacancy and ensure filings are made. The post cannot remain empty.

The company's articles of association and the Companies Ordinance govern the resignation process. The secretary must give written notice of resignation to the company. The company must then file Form ND4 with the Companies Registry within 15 days of receiving that notice. Form ND4 is the notice of resignation of a company secretary and director. The resignation takes effect on the date stated in the notice. That date must be at least 30 days after the notice is given, unless the articles allow a shorter period. Once filed, the Companies Registry updates its public record to show the position is vacant.

If the vacancy continues, the Companies Registry may take enforcement action. This can include prosecution of the company and its officers, and ultimately striking the company off the register. Striking off can leave assets unclaimed and make it difficult to reopen the company.

The company must fill the vacancy as soon as possible. The appointed person must meet the statutory requirements. An individual must be a natural person ordinarily resident in Hong Kong. A body corporate can serve as secretary if it has a registered office or a place of business in Hong Kong.

A company with a sole director cannot appoint that same person as the sole company secretary. If the company has only one director, the replacement secretary must be a separate person or a body corporate.

The appointment is notified on Form ND2A, which covers both appointment and cessation of a secretary or director. Form ND2A must be filed within 15 days of the appointment.

Replace Company Secretary Hong Kong

To replace a secretary who has resigned, the board of directors must pass a resolution appointing a new secretary. The company then files Form ND2A with the Companies Registry, noting both the cessation of the outgoing secretary and the appointment of the new one. Form ND4 for the resignation and Form ND2A for the replacement can be filed together.

The new secretary should be in place before the resignation takes effect, or as shortly afterward as possible. Any delay increases the risk of missing filing deadlines, including the annual return deadline of 42 days after the anniversary of incorporation.

A corporate service provider holding a TCSP licence under the Anti-Money Laundering and Counter-Terrorist Financing Ordinance (Cap. 615) can act as company secretary. Using a licensed provider ensures the company remains compliant while the vacancy is managed. The TCSP licence register is public and searchable on the Companies Registry website.

The company must also update the Significant Controllers Register and, if the outgoing secretary was the designated representative, appoint a new one. The directors should confirm the new designated representative's details in writing.

The cost of non-compliance includes increased registration fees for late annual returns, potential prosecution, and the risk of being struck off. The fastest way to resolve the situation is to appoint a replacement secretary immediately after the resignation is received, file Form ND4 and Form ND2A within the 15-day window, and confirm the Significant Controllers Register is updated.
