A provider that bundles company secretarial duties, a registered office, annual return filing, significant controllers register maintenance, and audit coordination simplifies the process. Fees vary by firm and by the scope of work. The market-rate ranges below come from licensed corporate service providers and accounting firms. Actual prices depend on the company’s transaction volume, number of directors, and the complexity of its shareholding structure.
The government registration fee of HK$105 for Form NAR1 is fixed and separate from any service provider fee. Every Hong Kong company must pay this Companies Ordinance (Cap. 622) fee directly to the Companies Registry when delivering the annual return. The outsourcing fee covers preparation, collation of director and shareholder particulars, and e-filing of the return.
Hong Kong Company Secretary Service Pricing
A company secretary is a statutory requirement under section 474 of Cap. 622. The provider must be ordinarily resident in Hong Kong and, if an individual, must hold no disqualification. For a standard private company with a limited shareholding, outsourcing this role costs between HK$2,000 and HK$5,000 per year.
This fee covers maintenance of the company’s statutory registers (directors, shareholders, charges), preparation and filing of Form NAR1, advice on director appointments and resignations, and liaison with the Companies Registry and the Inland Revenue Department.
Some providers charge an additional HK$500 to HK$1,500 for each transaction outside the annual cycle, such as a share transfer or a director change.
Cost of Company Secretary Hong Kong
Firms offering company secretarial services on a stand-alone basis, unbundled from audit, price at the lower end of the range. Expect HK$2,000 to HK$3,000 per year. Providers that bundle company secretarial services with a registered office, audit, and tax filing generally charge HK$4,000 to HK$5,000 per year. The cost also depends on whether the provider holds a practising certificate from the HKICPA or is a licensed Trust and Company Service Provider (TCSP) under the Anti-Money Laundering Ordinance.
A provider’s fee does not include the government registration fee of HK$105 for the annual return. That fee is always paid separately to the Companies Registry.
Hong Kong Annual Compliance Service Fees

For a small private company that does not meet the reporting exemption under section 359, a bundled package ranges from HK$7,000 to HK$18,000 per year. That package includes company secretary service (HK$2,000-HK$5,000), registered office service (HK$1,000-HK$3,000), preparation and e-filing of Form NAR1 (HK$500-HK$1,500), audit of financial statements (HK$5,000-HK$15,000), maintenance of the significant controllers register and designation of a representative, and renewal of the Business Registration Certificate issued by the Inland Revenue Department under Cap. 310.
Firms using the SME-FRF and SME-FRS framework for qualifying small companies may charge a lower audit fee because the reporting is less detailed. The audit must still be performed by a practising certified public accountant registered with the HKICPA.
Registered Office Service Pricing
Every company registered under Cap. 622 must maintain a registered office in Hong Kong. Outsourcing this to a service provider costs between HK$1,000 and HK$3,000 per year. The fee covers an official business address for receipt of statutory correspondence, forwarding of letters and notices from the Companies Registry and the Inland Revenue Department, and address listing on the company’s annual return and business registration certificate.
Some providers include the registered office at no extra cost when the company secretary service is purchased. Others charge separately.
Audit Fee Range for Small Private Companies
A full statutory audit of a Hong Kong private company using the SME-FRS reporting framework costs HK$5,000 to HK$15,000 per year. The lower end applies to companies with minimal trading activity, few transactions, and a clean set of books. The higher end applies where the company holds multiple assets, has inter-company loans, or operates in a regulated sector.
Companies that qualify for the reporting exemption under section 359 of Cap. 622 may still require an audit if their articles of association or shareholders demand one. The audit must be signed by an HKICPA member holding a practising certificate.
NAR1 Filing Service Fee
The registration fee paid to the Companies Registry for a timely annual return is HK$105. The service provider’s fee for preparing and e-filing Form NAR1 is separate and ranges from HK$500 to HK$1,500. This fee covers collation of director, secretary, and shareholder particulars, confirmation of the return date (the anniversary of incorporation), electronic submission through the e-Filing portal, and checking the declaration of dormant status, if applicable, so that the company is not required to deliver an annual return.
Miss the 42-day deadline and the higher registration fee applies: HK$870 within three months, rising to HK$3,480 after nine months. The service provider’s fee does not change. The government surcharge is passed on.
Significant Controllers Register Maintenance Fee
The significant controllers register (SCR) has been mandatory since 1 March 2018. A company must maintain a register of individuals who hold more than 25% of the issued shares or voting rights and must designate a representative to assist law enforcement access to the register. The register is kept at the registered office or a prescribed place in Hong Kong and is not open to public inspection.
Service providers charge an annual fee of HK$500 to HK$2,000 for SCR maintenance. This covers recording changes to shareholders and controllers, designating the representative and updating their details, and ensuring the register is properly stored at the registered office.
Some providers include SCR maintenance as part of the company secretary package.

What the Fee Does Not Cover
The service provider’s fee does not cover government levies or statutory disbursements. The company remains liable for the HK$105 registration fee for Form NAR1, the fee for a Business Registration Certificate from the Inland Revenue Department (renewable one-year or three-year), any higher registration fee for late filing of the annual return, and stamp duty on share transfers or other transactions.
The provider also does not cover the cost of preparing the financial statements themselves. That work is either done by the company’s in-house accountant or outsourced separately to a bookkeeping firm.

Request a line-by-line breakdown, not a lump sum. Confirm whether the fee includes the registered office address for the full year, e-filing of Form NAR1 and payment of the HK$105 registration fee, maintenance of the significant controllers register, designation of a representative, renewal of the Business Registration Certificate, and coordination with the auditor even if audit is not included in the bundle.
