A Hong Kong limited partnership fund (LPF) must notify the when it begins carrying on business. Form IRBR200A Notification of Commencement of Business serves that purpose. Purpose and Legal Basis

The Business Registration Ordinance (Cap. 310) requires every person carrying on business in Hong Kong to register with the . For an LPF, business registration is triggered by the actual commencement of business, not the fund's establishment date. Form IRBR200A confirms the LPF has started its commercial activities and provides the with the particulars needed to issue a Business Registration Certificate.

This form is a specified form under the Inland Revenue Department's statutory forms index. It is not the same as IRBR1, which is filed with the Companies Registry at incorporation. An LPF files IRBR200A after the fund has been registered under Cap. 637 and has taken its first operational step.

Limited Partnership Fund Commencement Notification

When an LPF begins trading, making investments, or incurring liabilities for a business purpose, it must file a commencement notification within one month of that event. The notification covers the fund's name, business registration number (if already obtained), date of commencement, and a description of the nature of the business.

The commencement date is the date the LPF first carries on business in Hong Kong. This is a factual determination: the date the fund executed its first investment, hired staff, or entered into a service agreement. The may ask for supporting evidence if the declared date appears inconsistent with other filings.

IRBR200A Filing Requirements

The filing requirements for form IRBR200A include the following:

Who must sign. The form must be signed by the general partner of the LPF. If the general partner is a corporation, the signatory must be a director or company secretary of that corporation. The does not accept electronic signatures on paper forms; a wet-ink signature is required unless filing through the Business Tax Portal.

Supporting documents. The filer must attach a certified true copy of the LPF's certificate of registration issued by the Companies Registry. If the LPF has already obtained a Business Registration Certificate under a provisional number, that certificate should also be attached. No other documents are required for a straightforward filing.

Filing channel. Form IRBR200A can be filed on paper at the counter or by post. Electronic filing is available through the Inland Revenue Department's Business Tax Portal, but the LPF must first register as a user of the portal. The portal accepts PDF uploads and processes the payment electronically.

LPF Business Registration Form Details

The form itself is a single-page document that captures the following particulars:

  • LPF name in English and Chinese (if any)
  • Business registration number (if already assigned)
  • Date of commencement of business
  • Nature of business (a short description such as "private equity investment" or "real estate fund management")
  • Address of the principal place of business in Hong Kong
  • Name and address of the general partner
  • Contact details including telephone number and email address

The nature of business field is important. The uses this information to categorise the LPF for statistical purposes and to determine whether any special licence conditions apply. A vague description such as "investment business" may result in a request for clarification.

Fees for Form IRBR200A

Filing form IRBR200A carries a business registration fee of HK$2,150 per year (as of August 2026) and a levy of HK$450 for the Protection of Wages on Insolvency Fund. The total due at filing is HK$2,600 for a one-year certificate. The LPF can elect to pay for a three-year certificate, which costs HK$5,650 (including levies).

No separate filing fee applies for the form itself; the payment is the business registration fee. If the LPF has already paid a provisional business registration fee at incorporation, the amount paid is credited against the amount due on filing IRBR200A.

Hong Kong Limited Partnership Fund Setup and Business Registration

An LPF is set up under the Limited Partnership Fund Ordinance (Cap. 637) through the Companies Registry. The setup process involves filing the statement of particulars (LPF1) and paying the registration fee. Business registration is a separate step that occurs after setup.

The Companies Registry issues a Certificate of Registration under Cap. 637, but that certificate does not replace a Business Registration Certificate under Cap. 310. The LPF must hold both documents: the Cap. 637 certificate proves the fund's legal existence, and the Cap. 310 certificate proves the fund is registered to carry on business in Hong Kong.

Common Rejection Reasons

The rejects form IRBR200A for several recurring reasons:

Inconsistent commencement date. The date declared on the form must be after the LPF's registration date under Cap. 637. A commencement date earlier than the LPF registration date is rejected because the fund could not carry on business before it existed.

Incomplete particulars. Missing the nature of business or providing a description that is too vague leads to rejection. The office expects a description that a third party can understand without asking further questions.

Unsigned form. The form must bear the original signature of the general partner. A photocopy, scanned signature, or signature by an unauthorised person is not accepted.

Missing certified copy. The certified true copy of the Cap. 637 certificate is mandatory. A plain photocopy is not accepted. The certifier must state "certified true copy" and include their name and qualification.

Duplicate filing. If the LPF is already registered for business purposes under a different entity name or number, the office may reject the form as a duplicate and direct the filer to update the existing registration instead.

Filing Channels and Deadlines

Form IRBR200A must be filed within one month of the commencement of business. Late filing attracts a penalty of HK$300 plus interest on the unpaid business registration fee. The Inland Revenue Department may also impose a further penalty of up to HK$3,000 for failure to register within the required period.

Business Registration Number

Enter the 8-digit Business Registration (BR) number of the Limited Partnership Fund. This number is printed on the fund’s BR certificate. Do not include hyphens or spaces.

Name of Limited Partnership Fund

Enter the full legal name of the fund exactly as it appears on the Certificate of Registration issued under the Limited Partnership Fund Ordinance.

Business Commencement Date [Mandatory field] (Note 2)

Enter the date the fund actually started business in the format day / month / year. This is a mandatory field. Note 2 states that advance notice (a date in the future) will not be accepted. The date must be on or before the date you sign the form.

Business Description and Nature (Note 3)

Describe the fund’s business activity. The Chinese description (including punctuation and spaces) cannot exceed 30 characters. The English description cannot exceed 60 characters. Keep it concise.

Business Address (Note 4)

Complete this section only if the fund’s business address is different from its registered office address. If they are the same, leave this section blank.

  • Area Code: Select H (Hong Kong and Outlying Islands), K (Kowloon), or N (New Territories).
  • Flat/Rm, Block, Floor: Enter the unit details.
  • Name of Bldg: Enter the building name.
  • No. & Name of St.: Enter the street number and name.
  • District: Enter the district.

Choose either the Chinese or English address block. Do not fill both.

Signature

The form must be signed by one of the following persons only (see Note 6): - General Partner of the fund - Authorized Representative (must be appointed under the Limited Partnership Fund Ordinance) - Investment Manager
