Form NSC20 Hong Kong is the specified form used to notify the Registrar that the reduction has been confirmed by the court. The form requires specific information from the court order and follows a clear filing process.

A court confirmed share reduction Hong Kong is a procedure under Division 3 of Part 4 of the Companies Ordinance (Cap. 622). A company that cannot or does not use a solvency statement must seek the court's sanction. After the court confirms the reduction and the company lodges the order with the Registrar, the Registrar issues a certificate confirming the reduction. Form NSC20 is the mechanism for delivering that information to the Companies Registry.
File the form after the court makes its order but before the Registrar issues the certificate. The certificate is conclusive evidence that the reduction has taken effect.
NSC20 Form Filing Guide: Contents of the Form
The NSC20 form filing guide begins with the basic identifying information about the company. You must enter:
- The company's registered name and its company registration number
- The date of the court order confirming the reduction of share capital
- The amount of share capital before the reduction
- The amount of share capital after the reduction
- Particulars of shares created, cancelled, or altered by the reduction
The particulars of shares section must describe every class of share affected. For each class, state the number of shares, the nominal value per share, and whether the reduction cancels, reduces, or reclassifies the shares.
The form also requires a statement confirming that the reduction has been approved by special resolution, and that the court has confirmed the reduction under section 214 of Cap. 622.
Capital Reduction Court Order Companies Registry: Supporting Documents
A capital reduction court order Companies Registry filing must include more than the form alone. You must attach a certified true copy of the court order confirming the reduction. The certified copy must bear the court's seal or the signature of a court officer. If the order varies the rights attached to any class of shares, the order itself must show the variation.
Do not attach the special resolution, the application to the court, or any supporting affidavits. The Companies Registry only needs the order and the completed Form NSC20.
If the court order includes conditions, such as a requirement to publish a notice or to notify creditors, you must satisfy those conditions before filing. The Registry will not accept the form if the order's conditions remain unmet.
Filing Procedure for Form NSC20
You can file Form NSC20 by paper at the Companies Registry's offices or electronically through the e-Services portal. Electronic filing requires a user account with the portal and a digital certificate. Paper filing requires the original form and one certified true copy of the court order.
The registration fee for filing Form NSC20 is HK$295. The fee is payable at the time of submission. Paper filings can be paid by cheque payable to "Companies Registry" or by cash at the counter. Electronic filings can be paid by credit card or through a pre-paid account.
The return date for the filing is not a fixed statutory deadline; it must be filed as soon as reasonably practicable after the court order is made. The Companies Registry advises filing within 15 working days of the order. If you delay, the Registry may refuse the filing or require an explanation.
Related Forms NSC18 and NSC19
Two other forms may appear in the same reduction process. Form NSC18 is the application to the court for cancellation of a special resolution if members object. Form NSC19 is the notice of a share capital reduction approved by special resolution but before court confirmation.
Form NSC18 and Form NSC19 are not filed as part of the same transaction as Form NSC20. Form NSC19 is used only if the company does not seek court confirmation, which is the solvency statement route. Form NSC18 is used only if the company or a member challenges the special resolution. The majority of court-confirmed reductions involve only Form NSC20.
Registration and Certificate of Reduction
After the Companies Registry receives Form NSC20 and the certified true copy of the court order, the Registrar examines the documents. If everything is in order, the Registrar issues a certificate confirming the reduction. The certificate states the amount of share capital as reduced and the date the reduction took effect.
The company receives the certificate by post or through the e-Services portal. Keep the certificate with the company's statutory registers. The Registrar also updates the company's public record to show the reduced share capital.
Common Errors in Filing Form NSC20
Errors in filing Form NSC20 can delay the certificate. Common mistakes include:
- Attaching an uncertified copy of the court order instead of a certified true copy
- Entering the wrong date for the court order
- Failing to complete the particulars of shares section for every class of share
- Filing the form before the court makes the order
- Filing the form after the Registrar has already issued a certificate on a prior filing
If you make an error, you must file a corrected Form NSC20 with a fresh certified copy of the court order. The Registry does not accept amendments to a filed form.

3 股本减少的详情
