CVL Hong Kong liquidation guide

Creditors' voluntary liquidation in Hong Kong is a formal process to wind up an insolvent company, initiated by directors and controlled by creditors.

Creditors' Voluntary Liquidation

Creditors' voluntary liquidation (CVL) winds up an insolvent Hong Kong company that cannot pay its debts as they fall due. The Companies Ordinance (Cap. 622) governs the process, which begins with the directors convening meetings of members and creditors. Because the company is insolvent, creditors control the process. They appoint the liquidator, approve the liquidator's fees, and supervise the realisation of assets and settlement of liabilities.

A CVL is not a members' voluntary liquidation, which requires a declaration of solvency. It is also distinct from compulsory winding up, initiated by a creditor's petition to the court.

CVL Hong Kong Insolvent Company

In Hong Kong, a CVL is the standard route for an insolvent company. Directors must call a members' meeting to pass a special resolution to wind up, and simultaneously convene a creditors' meeting. At the creditors' meeting, directors present a statement of affairs detailing the company's assets, liabilities, and the names of its creditors.

Hong Kong Insolvent Liquidation Process

The insolvent liquidation process starts when the liquidator takes control of the company's assets. The liquidator then realises those assets and collects debts owed to the company. Proceeds are distributed to creditors in the statutory order of priority. Any surplus is returned to members, though this is rare in an insolvent winding up.

Liquidation for Insolvent Company Hong Kong

For an insolvent company's liquidation in Hong Kong, the liquidator is a licensed insolvency practitioner appointed by the creditors. The liquidator may investigate the directors' conduct, examining whether the company traded while insolvent or made preferential payments to certain creditors. The liquidator reports to both the creditors and the Official Receiver.

Winding up an Insolvent Company Hong Kong

Winding up an insolvent company in Hong Kong via CVL does not involve the court unless a challenge arises. The liquidator files a copy of the winding-up resolution with the Registrar of Companies within 15 days. The company then ceases to carry on business, except as necessary for the beneficial winding up.
