What is a registered office in Hong Kong?

A Hong Kong company must maintain a physical registered office address in Hong Kong for legal correspondence.

Registered Office Hong Kong: Statutory Requirement and Address

Every Hong Kong company must maintain a registered office hong kong. This physical location receives legal documents and official correspondence. The Companies Ordinance (Cap. 622) mandates this requirement for all companies incorporated in Hong Kong, private or public.

The registered office must be a physical Hong Kong address. A post office box is not acceptable. The address is filed with the Companies Registry and appears on the public register. All statutory registers, including the register of members, the register of directors and the Significant Controllers Register, must be kept at the registered office or at another prescribed place notified on Form NR2.

Hong Kong Company Registered Address

The company registered address is the point of contact for the Companies Registry, the Inland Revenue Department and any person serving legal documents. It must be capable of receiving physical mail during business hours. A company that changes its address without filing the required notice commits an offence.

Change Registered Office Hong Kong

A company moving its registered office must notify the Companies Registry on Form NR1. The form must reach the Registrar within 15 days of the change. A company secretary or director typically files the form, either in paper or through the Companies Registry e-filing system.

Form NR1 Hong Kong

Form NR1 is the prescribed form for notifying a change of registered office address. It requires the company number, the old address and the new address. No fee is payable for filing Form NR1, but the address must comply with the requirement for a physical Hong Kong address. A post office box is not accepted anywhere on the form.

Company Registered Office Requirement

The statutory requirement for a registered office address is found in section 662 of the Companies Ordinance (Cap. 622). The address must be:

  • A physical location in Hong Kong
  • Capable of receiving legal documents and correspondence
  • Available during business hours for service of documents

The address is used by the company secretary, auditors, government departments and any person with a legal interest in the company. A company that fails to maintain a registered office may be struck off the register by the Companies Registry.
