Hong Kong NDA Confidentiality Agreement: Key Elements Under Hong Kong Law

A Hong Kong NDA confidentiality agreement protects trade secrets, business plans and proprietary information when one party discloses it to another. No dedicated statute governs NDAs. General Hong Kong contract law applies. The agreement must satisfy the usual requirements of offer, acceptance, consideration and intention to create legal relations.

Hong Kong Non-Disclosure Agreement: Definition of Confidential Information

The definition of confidential information determines whether the entire agreement stands or falls. A vague or overbroad definition may make the contract unenforceable. Identify the information by reference to its nature, the medium of disclosure, written, oral or electronic, and the circumstances of disclosure. Typical language covers information marked as confidential at the time of disclosure and information disclosed for a specific business purpose, such as evaluating a joint venture or a potential acquisition. It also covers information that by its nature a reasonable person would understand to be confidential.

The definition should expressly exclude information that is or becomes publicly known through no fault of the recipient, information already in the recipient’s possession before disclosure, and information independently developed by the recipient without use of the disclosing party’s confidential information.

Engage a solicitor to prepare or review the document. A generic form is a false economy.

Obligations of the recipient. The recipient must agree to hold the confidential information in confidence, use it only for the permitted purpose, and restrict access to employees or contractors who need to know the information and who are bound by equivalent confidentiality obligations. The clause should also require the recipient to return or destroy the information upon request or at the end of the term.

Term. State the duration of the confidentiality obligations. Many Hong Kong NDAs run for one to three years. Provisions protecting trade secrets may survive indefinitely. Set a realistic term: a very long period deters the other party from signing. A very short period leaves the disclosing party unprotected.

Permitted disclosures. Carve out disclosures required by law, court order or regulatory authority. The recipient must notify the disclosing party promptly of any such requirement and cooperate in seeking a protective order.

No licence or ownership. State that no intellectual property rights, trade marks, patents or copyright, are transferred or licensed by the disclosure of confidential information. This prevents the recipient from claiming any ownership interest in the information.

Return of information. Specify what happens at the end of the relationship. The recipient must return all tangible materials and permanently delete electronic copies, subject to routine backup retention policies.

Hong Kong NDA Enforceability: Remedies for Breach

Hong Kong NDA enforceability depends on the contract being properly formed and the confidential information being clearly defined. If the recipient breaches, the disclosing party may seek damages, an injunction, or an account of profits.

Damages provide monetary compensation for loss caused by the unauthorised disclosure or use. The disclosing party must prove the loss. That can be difficult where a competitor has not yet exploited the information.

An injunction restrains the recipient from further disclosure or use. It is often the primary remedy because damages may not adequately protect a trade secret. The court considers whether damages would be an adequate remedy and whether the balance of convenience favours the injunction.

An account of profits requires the recipient to account for any profit made from the misuse of the confidential information.

Include an indemnity clause under which the recipient agrees to compensate the disclosing party for losses arising from the breach.

Hong Kong Business Contract NDA: When to Use It

Use a Hong Kong business contract NDA whenever a company discloses sensitive information that could harm its competitive position if leaked. Common scenarios include sharing trade secrets, manufacturing processes, customer lists or pricing strategies, with a potential business partner, supplier or investor. Use one during negotiations for a merger, acquisition or joint venture. Use one when engaging a consultant, contractor or freelancer who will have access to proprietary information. Use one in the period before filing a patent application, to protect the invention while the application is pending.

An NDA is not a substitute for formal intellectual property protection. Trade marks, patents and registered designs are registered with the Intellectual Property Department and provide stronger rights against third parties. Copyright arises automatically on creation under Hong Kong law, with no registration system. The NDA complements these rights by imposing contractual obligations on the recipient.

Practical Considerations

Mutual or unilateral. A mutual NDA applies when both parties disclose confidential information. A unilateral NDA applies when only one party discloses.

Governing law and jurisdiction. Specify that the NDA is governed by Hong Kong law and that the courts of Hong Kong have exclusive jurisdiction. This avoids disputes over which law applies.

Signature. The NDA must be signed by authorised representatives of both parties. Electronic signatures are generally valid under Hong Kong law.

Data privacy. If the confidential information includes personal data, the recipient must comply with the Personal Data (Privacy) Ordinance (Cap. 486). The six data protection principles govern collection, accuracy, use, security, openness and access. The recipient should give a Personal Information Collection Statement if it collects personal data from the disclosing party.
