A Hong Kong company applying for a business bank account must prove it is a genuine operating entity, not a shell. The bank’s compliance team evaluates the company’s presence, its business plan, and its ownership structure. Without clear evidence of substance, the application will be declined.

Banks apply customer due diligence under the Anti-Money Laundering and Counter-Terrorist Financing Ordinance (AMLO). Account opening is a compliance process, not a formality. The bank must know who owns and controls the company, where its money comes from, and what it will do with the account.

Hong Kong Bank Business Substance Requirements

Banks look for several indicators of substance. The most important are a physical office in Hong Kong and a local director or employee who can answer questions about the business. Banks also expect a clear description of the intended business activity, a transparent ownership structure, a legitimate source of funds, and identifiable beneficial owners and significant controllers.

The Hong Kong Monetary Authority (HKMA) expects banks to apply these standards consistently. A company with only a virtual registered office or directors who all live overseas will struggle to meet the requirements. The bank may also exit a sector it considers high risk, such as cryptocurrency trading or money service operation, and decline any application in that sector.

The bank will request the Certificate of Incorporation, the Business Registration Certificate, the articles of association, proof of the registered office, and identification for all directors, shareholders and significant controllers. The bank will check the company’s register of significant controllers, which every Hong Kong company must maintain under the Companies Ordinance (Cap. 622). An incomplete register or an unclear ownership chain will lead to a declined application.

A common reason for a declined application is no demonstrable connection to Hong Kong. The bank may ask why the company chose Hong Kong as its base. A vague answer, "for tax reasons" or "because it is easy to register", may lead the bank to conclude the company lacks substance. A stronger answer explains the Hong Kong connection: having clients in Asia, using Hong Kong suppliers, or employing Hong Kong staff.

Another reason for rejection is that the stated business activity falls in a sector the bank has exited. Banks regularly review their risk appetite and may stop accepting accounts in certain industries. If the company’s intended business activity is in a sector the bank has exited, the application will be declined regardless of the quality of the substance evidence.

Practical Steps to Demonstrate Substance

Strengthen the substance case before applying.

First, ensure the company has a physical presence in Hong Kong. This does not mean renting a full office. A co-working space with a dedicated desk and a Hong Kong phone number is acceptable to many banks. The company must show it has a place where it conducts business and where the bank can reach it.

Second, appoint at least one director who lives in Hong Kong and can attend a bank interview. Some banks require the director to be present in person at the account opening meeting. If all directors are overseas, the bank may accept a video call, but the application will be more difficult.

Third, prepare a clear and credible business plan. The plan should describe the company’s intended business activity, its target market, its suppliers and customers, and its expected transaction volumes. The bank will compare the business plan with the documents the company provides. A plan stating the company will trade in electronics, backed by no supplier contracts or customer inquiries, reveals a gap.

Fourth, ensure the ownership structure is transparent. A complex structure with multiple layers of holding companies may prompt the bank to ask for a diagram showing the ownership chain. The beneficial owner must be a natural person. If the company is owned by another company, the bank will look through to the ultimate individual owner.

Fifth, prepare evidence of the source of funds. The bank wants to know where the money to capitalise the company came from. Funds from a personal savings account require bank statements. Funds from a business loan require the loan agreement. The bank will also ask about the source of funds for the initial deposit into the new account.

What to Do If the Application Is Declined

Ask for the reason. The bank is not required to give a detailed explanation, but it will often state the general area of concern, such as "insufficient business substance" or "sector exit". Address the issue and apply to a different bank.

A declined application is not the end of the process. Strengthen the substance evidence and try again. Some companies find it easier to open an account with a virtual bank licensed by the Hong Kong Monetary Authority, or with a payment institution that is not a bank. A payment institution account is not a bank account and deposits are not protected in the same way, but it may be a practical option for a company that cannot meet a traditional bank’s substance requirements.
