Purpose of Form NIN2 Delivery of Final Report by Inspector Hong Kong

Form NIN2 Delivery of Final Report by Inspector Hong Kong is the statutory document used to notify the Companies Registry that an inspector appointed by the court under the Companies Ordinance (Cap. 622) has completed an investigation and submitted the final report. The form serves as the formal record of delivery, confirming that the investigation findings have been filed with the Registrar as required by law. Only the inspector who conducted the investigation may use this form, and it must be filed promptly after the report is completed. The Companies Registry will not accept the final report itself for registration; instead, Form NIN2 acts as the covering notice that the report has been delivered, with the report being held by the Registry for inspection by authorised parties.

When to File Form NIN2

The obligation to file Form NIN2 arises after the inspector has prepared the final report summarising the investigation conclusion and findings. Under Cap. 622, an inspector appointed by court order must deliver the final report to the Registrar of Companies. The Companies Registry does not specify a statutory deadline in days for this delivery; however, the inspector should file the form as soon as practicable after the report is finalised. The form is filed at the same time as the physical final report is delivered to the Registry. If the inspector also delivers an interim report under a related form, that is a separate filing - Form NIN2 deals exclusively with the final report.

How to Complete and File the NIN2 Form Hong Kong

To submit Form NIN2 Hong Kong, the inspector must complete the following sections:

  • Company details: The registered name and company number of the investigated entity.
  • Inspector information: Full name and address of the inspector appointed by the court.
  • Court order reference: Details of the court order that appointed the inspector.
  • Confirmation of report delivery: A signed statement confirming that the inspector has delivered the final report and that the report is complete.
  • Date of report: The date on which the final report was prepared and delivered.

The form must be signed by the inspector personally. There is no statutory fee for filing Form NIN2 with the Companies Registry, though readers should verify the current fee schedule on the Registry's website. The filing is made through the Companies Registry e-Services portal or by paper submission to the Registry's office.

Inspector Final Report Filing Procedure

The inspector final report is the culmination of a company investigation report conducted under court authority. After the investigation, the inspector produces a written report detailing the findings, which may include evidence of misconduct, financial irregularities, or breaches of Cap. 622. The report itself is not a public document until filed, but once Form NIN2 is lodged with the Registry, the report becomes available for inspection by the Registrar, the company's members, and other persons with a legitimate interest. The inspector final report must be prepared in accordance with the court's directions and Cap. 622. A copy of the report may also need to be sent to the company's members if the inspector is required to do so by the court order.

Requirements for a Members' Report and Registrar's Copy

Although the inspector final report is the primary document, there may be additional requirements under the investigation. The inspector may be directed to prepare a members' report for shareholders, summarising the investigation findings. This members' report is separate from the final report submitted to the Registry. The inspector must also ensure that the registrar's copy of the final report is delivered to the Companies Registry. This registrar's copy is the version that accompanies Form NIN2 and becomes part of the public record. The inspector should retain a certified true copy of the filed form and the acknowledgment of receipt from the Registry for their records.

Filing Channels for Form NIN2

The Companies Registry accepts Form NIN2 through two channels:

  • Electronic filing: Via the Companies Registry e-Services portal (www.eregistry.gov.hk). The inspector must have a registered account and may need to upload a scanned copy of the signed form.
  • Paper filing: By delivering the completed form and the final report to the Companies Registry's office at 14/F, High Block, Queensway Government Offices, 66 Queensway, Hong Kong.

Box at the top right of the form. Enter the business registration number issued by the Business Registration Office of the Inland Revenue Department. This is the first 8 digits of the Business Registration Certificate number; do not include any digits after a hyphen. For companies incorporated/registered on or after 27 December 2023, this number is also the number shown on the Certificate of Incorporation or Certificate of Registration of Non-Hong Kong Company.

1. 公司名稱 (Company Name)

Enter the full name of the company that was the subject of the investigation. This should match the name on the Certificate of Incorporation.

2. 向財政司司長交付有關調查上述公司事務的最終報告的日期 (Date of Delivery of the Final Report on Investigation of the Affairs of the above Company to the Financial Secretary)

Enter the date you delivered the final report to the Financial Secretary. The format is DD / MM / YYYY. This is the critical date on the form - it must match the actual delivery date, not the date of preparation.

5. 簽署 (Signed)

The form must be signed here by the inspector. The Companies Registry will reject an unsigned form.

Below the signature line, print the name of the inspector and the date of signing in DD / MM / YYYY format. This date can be different from the delivery date in box 2.

Who must sign: The inspector appointed under section 840 or 841 of the Companies Ordinance.
