Form NW5 Cessation to Act as Liquidator Hong Kong
Form NW5 notifies the Companies Registry that a person has ceased to act as a liquidator or provisional liquidator of a company in winding-up. The Companies Ordinance (Cap. 622) requires this specified form whenever a liquidator resigns, is removed, or otherwise stops holding office. File promptly to keep the public register accurate and avoid penalties for non-compliance.
When Form NW5 Is Required
File Form NW5 whenever a liquidator or provisional liquidator ceases to act. Cessation follows resignation, removal by court order, death, or the conclusion of the winding-up process. This form is distinct from a notice of change of particulars, used when a liquidator continues in office but their contact details change. If the liquidator remains in post but their address or other particulars have changed, file Form NW4, not NW5.
The obligation to file rests with the person who has ceased to act, or with the company's directors if the liquidator is unable to do so. The outgoing liquidator usually signs and files the form, but the company secretary or another authorised person may also submit it on their behalf.
NW5 Form Liquidator Resignation
A liquidator's resignation takes effect only after the Companies Registry receives and registers Form NW5. The effective date of cessation is the date the form is delivered to the Registry, not the date of the liquidator's resignation letter or board resolution. This is critical. The liquidator remains legally responsible for the winding-up until the Registry records the cessation.
The form requires the liquidator's full name, the company's name, its company registration number, and the date of cessation. The liquidator must sign. If the liquidator has died or is incapacitated, a person authorised by the court must sign. The Companies Registry rejects unsigned or incomplete forms. Any error will cause a delay in recording the cessation.
Hong Kong Liquidator Cessation Notice
This cessation notice is the official record that a liquidator is no longer in office. Creditors, shareholders, and other parties rely on the public register to identify who is managing the winding-up. Without a filed Form NW5, the register continues to show the former liquidator as the officeholder, creating confusion and potential legal liability.
Submit the notice in duplicate for paper filings. The Companies Registry will stamp one copy and return it as proof of filing. For electronic filings through the e-Services portal, the system generates an acknowledgement receipt that serves the same purpose.
Companies Registry NW5 Filing Process
The Companies Registry accepts Form NW5 electronically via the e-Services portal or on paper by post or in person. Electronic filing is faster and cheaper, and the system validates the form before submission, reducing rejection risk. Paper filing requires the form to be printed, signed, and delivered to the Registry's office at Queensway, Hong Kong.
The filing fee is HK$30 for electronic filing and HK$50 for paper filing. These fees are subject to change. Check the current fee schedule on the Companies Registry website before filing.
The Registry processes electronic Form NW5 filings within one working day and paper filings within four working days. Once processed, the cessation is recorded on the public register, updating the company's winding-up record.
Cease Acting as Liquidator Form: Signature and Effective Date
The person who has ceased to act as liquidator must sign the form. If the liquidator has died, the personal representative or a person authorised by the court may sign. If the liquidator is a firm, an individual authorised to sign on behalf of the firm must sign. The Companies Registry does not accept electronic signatures on paper forms. For electronic filings, the signature is provided through the e-Services portal's authentication process.
The effective date of cessation is the date the form is received by the Companies Registry, not the date stated on the form. For post, the effective date is the date of receipt, not the postmark. File the form as soon as possible after the cessation event to minimise the period where the register is inaccurate.
Difference Between Form NW5 and Form NW4
Form NW5 is for cessation of a liquidator or provisional liquidator. Form NW4 is for a change in particulars of a liquidator or provisional liquidator who continues in office. The two forms are not interchangeable. A liquidator changing their address but remaining in office must file Form NW4. A liquidator resigning or being removed must file Form NW5.
Using the wrong form will result in rejection and delay updating the register. The Companies Registry website provides guidance to help filers choose the correct form. If in doubt, consult a professional adviser or contact the Registry directly.
Practical Considerations for Filing
The company secretary or the liquidator should retain a copy of the filed Form NW5 and the acknowledgement of receipt. This documentation may be needed to prove the date of cessation, especially if disputes arise over the liquidator's authority between the cessation event and the filing.
If the cessation arises from a court order, attach a copy of the order to Form NW5. The Registry will not register the cessation without the order if the liquidator was appointed by the court. If the liquidator resigns, keep the resignation letter or board resolution on file. It does not need to be submitted with the form.

商業登記號碼 Business Registration Number
填寫由稅務局商業登記署發出的商業登記號碼,即商業登記證號碼的首8位數字。「-」後的數字無須填寫。2023年12月27日或之後成立的公司,其公司註冊證明書上的編號亦為此號碼。
1 公司名稱 Company Name
填寫正在清盤中的公司全名。括號內「清盤在進行中 In Liquidation」是名稱的一部分,應一併填寫。
2 停任詳情 Details of Ceasing to Act
身分 Capacity:在適用的方格內加上「✓」號,表明你停任的是「清盤人 Liquidator」還是「臨時清盤人 Provisional Liquidator」。
姓名 Name:填寫停任人的中文姓名(如適用)及英文姓名(姓氏及名字)。中英文姓名須與公司紀錄一致。
身分識別 Identification:填寫香港身分證或護照的部分號碼。部分號碼的定義:若號碼字元數目(不包括空格、標點及符號)為雙數,取前半部分;若為單數,取首個字元至中間字元。切勿填寫完整號碼,否則資料會供公眾查閱。若該資料從未在本處登記,請填「無」。
停任日期 Date of Ceasing to Act:填寫你正式停任的日期(日、月、年)。此日期必須與你實際停止擔任清盤人/臨時清盤人的日期一致,並據此計算15天的交付期限。
簽署 Signed
本表格必須由停任的清盤人或臨時清盤人本人簽署。簽署後,在「姓名 Name」欄填寫你的姓名,在「日期 Date」欄填寫簽署當日的日期。請刪去「清盤人/臨時清盤人*」中不適用者。公司註冊處不接納未簽妥的表格。
