Form ND2B Hong Kong: Notice of Change in Particulars of Company Secretary and Director

Form ND2B notifies the Companies Registry of changes to an existing director’s or company secretary’s personal details. It is one of several specified forms under the Companies Ordinance (Cap. 622) dealing with officer changes. It is not for appointments or cessations.

What Changes Must Be Reported on Form ND2B

File Form ND2B when a serving director or company secretary changes any recorded particular. The most common changes are a change of name following marriage or a legal name change, a change of residential address, or a change of correspondence address if the officer uses a different address for company communications. You must also report changes to other particulars recorded on the register of directors and secretaries, such as a director’s other directorships or business occupation.

The form covers both individuals and corporate officers. A corporate director or secretary that changes its registered office or correspondence address must also be reported on ND2B.

Change Director Particulars Hong Kong: The 15-Day Filing Window

File Form ND2B within 15 days of the change occurring. The clock starts from the date the company receives written notice from the director, or the date the company becomes aware of the change, whichever is earlier.

The 15-day requirement applies equally to changes in the company secretary’s particulars. Miss the deadline and the registration fee rises. The Companies Registry may impose a late filing fee, and the company and its officers could be liable for a fine under Cap. 622.

Hong Kong Company Secretary Change of Address

A company secretary’s change of address is a frequent trigger for ND2B. The secretary’s address on the register must be current. Update the register of directors and secretaries at the same time as filing the form.

If the secretary is an individual, provide the residential address on the form. The company may choose to use a correspondence address for the public register. If the secretary is a corporate body, supply the registered office address of that body.

The company must also reflect the change in its internal records. The register of directors and secretaries is a statutory record kept at the company’s registered office or at a location notified to the Registry under section 662 of Cap. 622.

ND2B Filing Requirements: What You Need to Submit

To file Form ND2B, you need the completed form, signed by a director, secretary, or authorised representative of the company. If the change is a name change, you must also submit a certified true copy of any supporting document, for example, a marriage certificate or deed poll. The registration fee is HK$15 for paper filing or HK$10 for electronic filing through the e-Services portal.

File the form with the Companies Registry. Electronic filing through the e-Services portal at www.eregistry.gov.hk processes faster and costs less than paper submission.

How ND2B Differs From ND2A and ND4

The three forms each cover a different type of officer change.

ND2B is for changes to existing officers’ details. If a director changes address but remains in office, use ND2B. If a new director is appointed, use ND2A. If a director resigns, use ND4.

Updating the Register of Directors and Secretaries

Filing Form ND2B is only one part of the compliance obligation. The company must also update its own register of directors and secretaries. This register is a statutory record maintained under Cap. 622. It must be available for inspection by members of the company and, in certain circumstances, by the public.

Update the register within the same 15-day period as the filing. Update any other records, internal files, notifications to the Inland Revenue Department, separately if needed.

Where to Find the Official Form

The Companies Registry publishes the current version of Form ND2B on its specified forms index at www.cr.gov.hk/en/forms/specified.htm. Always download the form directly from the Registry. The Registry revises forms periodically and a stale version may be rejected.

File by post, in person at the Companies Registry’s counter, or electronically through the e-Services portal. Electronic filing is faster and cheaper.

Enter the company’s Business Registration Number as it appears on the Business Registration Certificate. This is the same number that appears at the top of the form.

Enter the company’s exact registered name as shown on the Certificate of Incorporation.

Use this section for a natural person (an individual). If more than one natural person is involved, use Continuation Sheet A for each additional person.

8 身分 Tick the correct box(es): Company Secretary, Director, or Alternate Director. You can tick more than one if the person holds multiple capacities.

9 中文姓名及英文姓名 Enter the name exactly as it is currently registered with the Companies Registry. The Chinese name goes in the Chinese box. For the English name, split it into Surname and Other Names.

10 身分識別 Enter the partial number of the Hong Kong Identity Card or the partial number of the Passport. This should match what is currently on the register. For the HKID, the format is X(X)(X)(X), often shown as three digits and one check digit in brackets.

Only complete items that have changed. Each item (a) through (i) has its own effective date.

13 (a) 中文姓名 Enter the new Chinese name and the effective date.

14 (b) 英文姓名 Enter the new English Surname and Other Names, and the effective date.

15 (c) 別名 Enter any new alias in Chinese and/or English, and the effective date.

16 (d) 董事的通常住址 Do not enter the address here. The form instructs you to provide the director’s new usual residential address on the PI-ND2B sheet, which is not for public inspection. Only enter the effective date on the main form.

17 (e) 通訊地址 Enter the new correspondence address if it has changed. Include Flat/Floor/Block, Building, Street/Estate/Lot/Village, District/City/Province/State/Postal Code, and Country/Region. Enter the effective date.

18 (f) 電郵地址 Enter the new email address and the effective date.

19 (g) 香港身分證部分號碼 Entry is required only if the partial HKID or passport details have changed. Enter the new partial HKID number or passport issuing country/region and partial number. The form notes that the full identification number must be provided on the PI-ND2B sheet. Enter the effective date.

20 (i) 信託或公司服務提供者牌照 Only applies if the person is a company secretary. If they hold a licence, enter the Licence No. If not required to hold one, tick the box and state the reason. Enter the effective date.

3 公司秘書/董事詳情更改 (法人團體) - A. 現時在公司註冊處登記的詳情

Use this section for a body corporate. If more than one body corporate is involved, use Continuation Sheet B for each additional entity.

8 身分 Tick the correct box(es): Company Secretary, Director, or Alternate Director.

11 公司秘書/董事的名稱 Enter the name of the body corporate as currently registered, in Chinese and English.

12 商業登記號碼 Enter the Business Registration Number of the body corporate. This box is only for bodies corporate registered in Hong Kong.

What if I miss the 15-day filing deadline for ND2B?

If you miss the 15-day filing deadline for Form ND2B, the Companies Registry may impose a late filing fee. The company and its officers could also be liable for a fine under the Companies Ordinance (Cap. 622). The registration fee rises after the deadline expires.

Can I use ND2B to appoint a new director?

No, you cannot use Form ND2B to appoint a new director. This form is only for changing the particulars of an existing director or secretary, such as their name or address. For appointments, you must use Form ND2A, which is specified for that purpose.
