It pools capital commitments from investors for collective investment, establishing a clear division of roles between the general partner and the limited partners.

The Hong Kong limited partnership fund is registered with the Companies Registry, not the Securities and Futures Commission. It operates as a limited partnership with a separate legal personality distinct from its partners, governed by the Limited Partnership Fund Ordinance.
