Form NN8 is the statutory document used to notify the Companies Registry of a change in the authorized representative of a registered non-Hong Kong company. Under Part 16 of the Companies Ordinance (Cap. 622), every non-Hong Kong company registered in Hong Kong must maintain at least one authorized representative at all times. When that representative changes, whether through appointment, cessation, or both, the company must file a Form NN8 change of authorized representative Hong Kong with the Registry within the prescribed period.

The form serves a dual purpose. It can report the appointment of a new authorized representative, the cessation of an existing one, or both events occurring simultaneously. The Companies Registry uses the information on Form NN8 to update the public register, which any person may search to verify who is authorised to accept service of process and official communications on behalf of the non-Hong Kong company in Hong Kong.

When to File Form NN8

A registered non-Hong Kong company must file Form NN8 whenever there is a change in who acts as its authorized representative. This includes:

• Appointment of a new authorized representative
• Cessation of an existing authorized representative
• Replacement of one representative with another

The filing obligation arises regardless of whether the change is voluntary or results from resignation, death, or removal. The company must ensure the form reaches the Companies Registry within the time limit specified in the Ordinance. Failure to file on time may result in a higher registration fee and potential prosecution.

Non-Hong Kong Company Authorized Representative Change

The requirement for an authorized representative applies specifically to registered non-Hong Kong companies. These are companies incorporated outside Hong Kong that have established a place of business in the territory and registered under Part 16 of Cap. 622.

The authorized representative must be either:

• An individual resident in Hong Kong, or
• A body corporate authorised to act as a representative

The representative's role includes accepting service of legal documents and receiving official correspondence from the Hong Kong government. When a non-Hong Kong company authorized representative change occurs, the company must file Form NN8 to ensure the public register reflects the correct contact person. If the company ceases to have any authorized representative, it must appoint a replacement immediately and file the form to record that appointment.

Companies Registry Form NN8 Filing

The Companies Registry Form NN8 filing can be completed either electronically through the e-Services portal or by submitting a paper form. The Registry accepts both methods, though electronic filing is generally faster and may reduce processing times.

To file Form NN8, the company must provide:

• The company's registered number in Hong Kong
• The company's name as registered with the Registry
• The particulars of the new authorized representative (if appointing)
• The date of appointment
• The particulars of the former authorized representative (if ceasing)
• The date of cessation

The form must be signed. For a paper filing, the signature must be from an authorised person of the company, such as a director or company secretary. For electronic filing, the e-Services portal requires the filer to authenticate their identity using a recognised digital certificate.

Update Authorized Representative Hong Kong

To update authorized representative Hong Kong records, the company must complete Section A (appointment) and/or Section B (cessation) of Form NN8 as applicable. The form requires the full name, address, and Hong Kong identity card number or passport number of an individual representative, or the name and registered office address of a corporate representative.

If the change involves both the appointment of a new representative and the cessation of the previous one, the company should complete both sections on the same form. This avoids the need for two separate filings and reduces the risk of a gap in representation.

The Registry will process the form and update the public register accordingly. The company should retain a certified true copy of the filed form for its own records.

Return of Change Authorized Representative

The return of change authorized representative must be delivered to the Companies Registry within 15 days of the change occurring. This deadline applies to both appointment and cessation. The "return date" is the date on which the change took effect, not the date the company decided to make the change.

If the company misses the 15-day window, the registration fee increases. The Registry publishes the current fee schedule on its website. Late filing may also attract penalties under Cap. 622.

For electronic filing, the e-Services portal at www.eregistry.gov.hk accepts Form NN8 submissions 24 hours a day. The portal provides an immediate acknowledgement of receipt.

Completing Form NN8 Correctly

Accuracy is critical when completing Form NN8. The particulars of the authorized representative must match the company's records exactly. Common errors include:

• Using an old or incorrect company name
• Providing an incomplete address for the representative
• Omitting the date of appointment or cessation
• Failing to sign the form

If the Registry identifies an error, it may reject the form and require a corrected resubmission. This can delay the update of the public register and may expose the company to compliance risks.

The company should also verify that the new authorized representative has consented to act. While Form NN8 does not require a separate consent form, the company should maintain internal records of the representative's acceptance.

Relationship with Other Forms

Form NN8 is one of several forms under Part 16 of Cap. 622 that deal with changes to a registered non-Hong Kong company's details. Other related forms include:

• Form NN2 for terminating an authorized representative
• Form NN6 for changes in company secretary and director
• Form NN7 for changes in director or secretary particulars
• Form NN8C for updating the particulars of an existing authorized representative

If the change involves only a correction to the representative's name or address (not a change of person), the company should use Form NN8C instead of Form NN8.

Supporting Documents

When filing Form NN8 by post or in person, the company should include a certified true copy of the board resolution or other document evidencing the change. The certification must be made by a director, company secretary, or other authorised officer of the company.

For electronic filing, the e-Services portal may require the filer to upload a scanned copy of the supporting document. The Registry will advise on the specific requirements at the time of filing.

Consequences of Non-Compliance

A registered non-Hong Kong company that fails to file Form NN8 within the 15-day period commits an offence under Cap. 622. The company and every responsible officer may be liable to a fine. Continued non-compliance may result in the Registry taking enforcement action, including possible striking off of the company from the register.

Maintaining an up-to-date authorized representative record is a fundamental compliance obligation. The representative is the company's point of contact in Hong Kong, and the public register must accurately reflect who holds that position.
