Form NR1 Hong Kong: Change of Registered Office Address

Form NR1 Hong Kong is the specified form under the Companies Ordinance (Cap. 622) for notifying the Companies Registry of a change in a company’s registered office address. File it whenever a Hong Kong company moves its registered office to a new location in Hong Kong. The registered office must always be a physical address in Hong Kong, not a post office box. All official communications from the Companies Registry and the Inland Revenue Department go there.

The 15-Day Filing Requirement for NR1

Under section 662 of the Companies Ordinance (Cap. 622), a company must deliver Form NR1 to the Companies Registry within 15 days of the change of its registered office address. The deadline is strict. It begins on the date the company actually moves its registered office, not the date the board approves the move, and not the date the physical move takes place.

File late and the company commits an offence. It may be liable to a fine, and the Registry may initiate prosecution. There is no grace period. The clock starts ticking immediately on the effective date of the address change.

Hong Kong Registered Office Change Form: What It Requires

The form is straightforward. It requires:

  • The company’s name and company registration number
  • The previous registered office address
  • The new registered office address, which must be a physical location in Hong Kong
  • The effective date of the change
  • The signature of a director, company secretary, or authorised representative

File the form in duplicate. The Companies Registry stamps one copy and returns it as acknowledgement. Keep that stamped copy as a certified true copy of the filed record.

NR1 Filing Hong Kong: How to Submit

NR1 filing Hong Kong can be done through either of two channels.

  1. Electronic filing via the Companies Registry e-Services portal (https://www.eregistry.gov.hk/). This is the faster method and allows immediate processing. The e-Services portal requires a registered account and accepts payment by credit card or through the Government’s payment gateway.

  2. Paper filing by delivering the completed form to the Companies Registry’s office in person or by post. The paper form must be accompanied by the prescribed registration fee. Paper filings take longer because the Registry must scan and index the document manually.

The current registration fee for filing Form NR1 is HK$105. Confirm this on the Companies Registry’s website before filing. Fees are subject to revision.

Change Company Address Hong Kong: Notifying Other Authorities

Filing Form NR1 with the Companies Registry is only one part of the process. When you change company address Hong Kong, notify the Inland Revenue Department of the updated business registration address as well.

The Companies Registry and the Inland Revenue Department are separate agencies. A change of registered office address does not automatically update the business registration record. The company’s business registration certificate (issued under Cap. 310) still shows the old address until a separate notification is made.

To update the business registration address, notify the Business Registration Office of the Inland Revenue Department. Do this by completing the relevant section on the business registration renewal notice (BIR56A) or by submitting a formal notification in writing. If the company fails to update this record, official tax correspondence goes to the wrong address. Missed deadlines and penalties follow.

The Registered Office Must Be a Physical Hong Kong Address

The law requires a physical location in Hong Kong where documents can be served. A post office box, a virtual office that does not accept service of process, or a non-Hong Kong address is not acceptable. The address must be capable of receiving physical correspondence from the Companies Registry, the Inland Revenue Department, and any party wishing to serve legal documents on the company.

The registered office address appears on the public record. Any person can search the register and see it. For this reason, companies often choose an address that is also their business address or the office of their company secretary or solicitor.

Contrast with Form NR2 for Location of Registers

Form NR2 serves a different purpose. Form NR1 notifies the Registry of the address of the registered office. Form NR2 notifies the Registry of the location where the company keeps its registers and company records, the register of members, the register of directors, and the register of charges.

The distinction matters. A company may keep its registers at a different location from its registered office. The registered office might be the company secretary’s office, while the registers are kept at the company’s own premises. In that case, both Form NR1 (for the registered office address) and Form NR2 (for the location of registers) must be filed if either changes.

1. 公司名称 Company Name

Enter the full legal name of the company exactly as it appears on the Certificate of Incorporation.

2. 更改详情 Details of Change

Only complete the sections where there has been a change.

2(a) 在香港的新注册办事处地址 New Address of Registered Office in Hong Kong

Enter the new registered office address. The address must be a physical location in Hong Kong. Do not use a non-Hong Kong address, a "care of" address, or a post office box number.

  • Flat/Floor/Block etc: Enter the flat, floor, block or room number.
  • Building: Enter the name of the building.
  • Street/Estate/Lot/Village etc: Enter the street name, estate name, lot number, or village name.
  • District: Enter the district (e.g., Wan Chai, Tsim Sha Tsui).
  • Region: Enter "HONG KONG".
  • Effective Date: Enter the date the change took effect. This date cannot be a future date and must be within 15 days before you file this form.

2(b) 新电邮地址 (如适用) New Email Address (if applicable)

Enter the company's new email address. To notify the Registry of a change to an email address you have already provided, use this section and provide the new email.

  • Effective Date: Enter the date this email address became active.

2(c) 新香港联络电话号码 (如适用) New Hong Kong Contact Telephone Number (if applicable)

Enter the company's new Hong Kong telephone number (8 digits after +852). To notify the Registry of a change to a contact number you have already provided, use this section and provide the new number.

  • Effective Date: Enter the date this number became active.

签署 Signed

This form must be signed by a director or the company secretary. Delete whichever does not apply. A form that is not properly signed will be rejected.
