Form NR1: changing a Hong Kong registered office address

Form NR1 is the notice filed to update a Hong Kong company's registered office address with the Companies Registry.

What Is Form NR1 for Registered Office Change

Form NR1 is the statutory notice filed with the Companies Registry to report a change of a company's registered office address in Hong Kong. Its full title is "Notice of Change of Address of Registered Office". This is the only prescribed form under the Companies Ordinance (Cap. 622) for this purpose. Filing Form NR1 updates the public record to show the company's current physical location, a legal requirement for every Hong Kong company.

Form NR1 Hong Kong

Hong Kong incorporated companies use Form NR1 exclusively. The form is filed under section 662 of the Companies Ordinance (Cap. 622). It requires the company's name, its former registered office address, the new registered office address, and the date the change took effect. A director or the company secretary must sign the form. The Companies Registry accepts Form NR1 through its e-Services portal or by paper filing.

Notice of Change of Address of Registered Office

This notice updates the public register maintained by the Companies Registry. The registered office is the company's official address for service of legal documents and for receiving government correspondence. Every company must maintain a registered office in Hong Kong, and this address must be a physical location, not a post office box. The change takes effect on the date stated in the notice. The company must file the form promptly after that date.

Companies Registry Form NR1

Form NR1 is one of several forms dealing with the location of company records. Form NR2 is a separate form used to notify the Registrar where the company's statutory registers and records are kept, if that location differs from the registered office. Form NR1 reports the registered office address itself. Form NR2 reports where the registers of members, directors, company secretaries and charges are physically held. They serve different purposes.

Change Registered Office Hong Kong

To change the registered office, the directors must first resolve to move the address. The new address must be a physical Hong Kong address. The company should update its Business Registration Certificate with the Inland Revenue Department separately, as the certificate shows the business address. Notify the bank, suppliers and the company secretary of the new address. The change is effective from the date the directors decide. The Companies Registry must receive Form NR1 within 15 days of that date.

NR1 Filing Requirement

The NR1 filing requirement is mandatory under the Companies Ordinance. Failure to file Form NR1 within the prescribed period is an offence. The company and its officers may be prosecuted. The Registrar may also refuse to accept other filings if the registered office on the public record is incorrect. The company secretary is typically responsible for ensuring the form is completed and filed on time. There is no registration fee for filing Form NR1. The form must be accurate and signed before submission.
