The Form IR1458 Business Registration Number Equivalent
A financial institution that is subject to the Automatic Exchange of Information (AEOI) framework in Hong Kong but does not hold a standard Business Registration Number (BRN) must obtain a Form IR1458 business registration number equivalent from the Inland Revenue Department (IRD). This numeric identifier serves as the institution’s official reference for Common Reporting Standard (CRS) and AEOI reporting obligations, replacing the conventional BRN that would ordinarily be issued to a business carrying on a trade in Hong Kong.
Business Registration Number Equivalent Hong Kong
In Hong Kong, a Business Registration Number is normally issued under the Business Registration Ordinance (Cap. 310) when a person or entity commences business. Certain financial institutions, however, may not hold a BRN because they do not conduct a trade locally or because their legal structure falls outside the standard registration requirements. For AEOI and CRS purposes, the IRD has established the concept of a BRN equivalent. This equivalent is a unique number assigned exclusively to reporting financial institutions that need to comply with international tax transparency obligations but lack a conventional BRN. The IRD issues this number through the application process on Form IR1458.
IR1458 Financial Institution Application
A financial institution that requires a BRN equivalent must submit Form IR1458 to the IRD. The form is specifically designed for this purpose; it is not used for any other type of IRD notification. The applicant must provide its full legal name, the jurisdiction under which it is incorporated or organised, and its global intermediary identification number or other recognised identifier if one exists. The IRD will then verify the institution’s status as a reporting financial institution under the AEOI framework and assign the equivalent number. The application is submitted through the IRD’s AEOI portal, which is accessible via the Business Tax Portal. The IRD does not charge a fee for processing Form IR1458, but the applicant must ensure that all information is accurate and complete to avoid delays.
BRN Equivalent Financial Institution Hong Kong
The BRN equivalent is not a substitute for a standard Business Registration Number in other contexts. It is valid only for AEOI and CRS reporting purposes. A financial institution that holds this equivalent number must use it when filing annual CRS returns, when communicating with the IRD about account identification obligations, and when submitting any notifications under the AEOI regime. The number is recorded in the IRD’s register of reporting financial institutions and remains active until the institution ceases to be a reporting financial institution or notifies the IRD of a change in its status.
How the Number Is Used in Practice
Once assigned, the BRN equivalent must be included on the annual CRS return that the institution files with the IRD. The IRD uses the number to match the return to the correct entity in its internal systems. The number also appears on any correspondence between the institution and the IRD concerning AEOI matters, including requests for information, notices of non-compliance, and updates to the institution’s registration details. A financial institution that changes its legal name or jurisdiction must apply for a new Form IR1458 to update its BRN equivalent, as the original number is tied to the specific entity as originally submitted.
Eligibility and Exclusions
The following entities are eligible to apply for a BRN equivalent using Form IR1458: - Trusts that are reporting financial institutions under CRS but are not registered for business in Hong Kong. - Investment entities that are incorporated outside Hong Kong but are tax resident in Hong Kong for AEOI purposes. - Certain collective investment vehicles that do not hold a BRN because they are not carrying on a trade in Hong Kong.
Entities that already hold a valid BRN under Cap. 310 should not apply for a BRN equivalent. They must use their existing BRN for all AEOI and CRS reporting. Applying for a duplicate would result in confusion and potential compliance failures.
Relationship with Other AEOI Forms
Form IR1458 is one of several forms used by financial institutions to interact with the IRD under the AEOI framework. It is distinct from Form IR1459, which is used to notify the IRD of the person authorised to operate an AEOI account, and from Form IR1463, which is used to report financial account information. A financial institution must first obtain its BRN equivalent before it can complete the registration process for its AEOI account. The IRD provides guidance on its website at www.ird.gov.hk under the AEOI section, and the Form IR1458 itself can be downloaded from the same page.
Consequences of Not Applying
A financial institution that is required to report under CRS or AEOI but does not have a BRN equivalent will be unable to file its annual returns through the IRD’s electronic system. The IRD may treat the failure to obtain the equivalent number as a failure to comply with the notification obligations under the Inland Revenue Ordinance (Cap. 112). This can result in penalties, including fines imposed under section 80 of the Ordinance. The financial institution should apply for the BRN equivalent well before the first CRS reporting deadline to avoid any risk of non-compliance. The IRD processes applications within a few working weeks, but the institution should allow additional time if its application requires manual review due to incomplete information or complex entity structures.
How to fill out Form IR1458

Part 1 Particulars of the Financial Institution
(1) Name of Financial Institution
Enter the full legal name of the financial institution making the application. This must match the name on its constitutional documents or the name used for the AEOI Portal registration.
(2) Type of Legal Form
Tick one box: Corporation, Partnership, Trust, or Others (then specify, e.g. "Foundation" or "Unit trust").
(3) Nature of Legal Form
Tick one box: Corporate (separate legal entity, such as a company) or Non-corporate (e.g. a partnership or trust).
(4) Type(s) of Financial Institution
Tick one or more boxes: Custodial Institution, Depository Institution, Investment Entity, Specified Insurance Company. At least one must be selected.
(5) Address
Enter the financial institution’s correspondence address. This can be outside Hong Kong.
(6) Reason why the Financial Institution is not required to apply for a business registration in Hong Kong
Tick one box and complete the associated details.
- If "Non-business entity", describe the principal activities and the primary income sources (e.g. "holding investments; income from dividends").
- If "Other reasons", specify the reason (e.g. "no physical presence in Hong Kong").
(7) Date on which the Financial Institution commenced to maintain reportable accounts
Enter the exact date (dd/mm/yyyy) the institution first began to maintain reportable accounts through its AEOI account on the AEOI Portal. This date triggers the 3-month notice period to the Commissioner under Note 2.
(8) Contact Person
(a) Name with title (Mr/Mrs/Ms/Miss).
(b) Job title.
(c) Email address.
(d) Daytime telephone number (include country code if outside Hong Kong).
(9) Person acting for the Financial Institution that is not a corporation to maintain financial accounts
Complete only if the financial institution is not a corporation and uses an agent to maintain financial accounts.
(a) Full name of the individual or entity.
(b) Business Registration Number or Business Registration Number Equivalent. Delete as appropriate. If the person does not have either, they must first file Form IR1461 (see Note 3).
Part 2 Declaration
Signatory
The person signing must be an individual, as listed in Note 4:
- For a corporation: a director, officer, or liquidator.
- For a partnership: a partner.
- For a trust: the trustee (or a director/officer of a corporate trustee).
- For a body of persons: the principal officer or responsible person.
Name of Signatory - Print the full name.
Signature - The individual signs in ink.
Position held by the Signatory - State the signer’s role (e.g. "Director", "Trustee").
Date - Enter the date of signing. Must match the date the form is submitted.
Delete "Business Registration Number Equivalent" in box (9)(b) if you insert a Hong Kong BR number instead.
No fee is stated on the form. The completed form should be sent to the Tax Treaty Section at the address in the letterhead.
