The Form NM7 Notice of Change in Particulars of Receiver Hong Kong notifies the Companies Registry of any change to the details of a receiver, manager, or mortgagee in possession appointed over a company's assets. This statutory form is prescribed under the Companies Ordinance (Cap. 622). You must file it whenever the particulars previously registered on Form NM5 (appointment of a receiver or manager) or Form NM3 (mortgagee in possession) are no longer accurate.

What Constitutes a Change in Particulars Requiring Form NM7

Section 662 of the Companies Ordinance defines a change in particulars as any alteration to the information originally provided about the receiver, manager, or mortgagee in possession. The Companies Registry requires notification for changes to:

  • The receiver or manager's full name (including changes by deed poll or marriage)
  • Their residential or business address
  • The address of their place of business (if different)
  • The date of the change

This obligation also applies to a mortgagee in possession whose particulars have changed since filing Form NM3. Any change that makes the registered particulars misleading or incomplete must be reported.

When filing an NM7 change of particulars Hong Kong, the person making the notification must complete the form accurately and deliver it to the Companies Registry within 15 days of the change. The form requires the company number and name, the previous particulars as last filed, the new effective particulars, the date of the change, and the signature of the receiver, manager, or mortgagee in possession. If several receivers or managers have changed details, each individual must be reflected on the form, or you may file separate forms for each person.

Status changes. If a receiver or manager appointed jointly with others ceases to act, this is not a change of particulars but a cessation of appointment. File Form NM6, not Form NM7.

The Form NM7 filing guide Hong Kong procedure is as follows:

  1. Obtain the form. Download Form NM7 from the specified forms index at cr.gov.hk. The Registry revises forms periodically, so always use the current version.
  2. Complete the form. Enter the company number, company name, previous particulars, new particulars, and the date of change. The company name must match the registered name exactly.
  3. Prepare supporting documents. For a name change, attach a certified true copy of the evidencing document. A Hong Kong solicitor, certified public accountant, or company secretary must certify the copy.
  4. Sign the form. The receiver, manager, or mortgagee in possession must sign it. Electronic signatures are accepted for filings through the e-Services portal.
  5. File the form. Submit the completed form and any supporting documents to the Companies Registry. File electronically through the e-Services portal at eregistry.gov.hk or submit paper forms to the Registry's office.
  6. Pay the fee. A registration fee is payable at the time of filing. Confirm the fee amount on the Companies Registry's fee schedule.

Importance of Maintaining Accurate Company Records

Keeping a receiver or manager's particulars current is a legal obligation under the Companies Ordinance. The public register maintained by the Companies Registry is relied upon by creditors, shareholders, and other interested parties to identify who controls a company's assets during receivership. Failure to file Form NM7 within the 15-day period is an offence. The company and every officer in default may be liable to a fine. Inaccurate records create confusion about who has authority to deal with the company's property, potentially delaying transactions or causing disputes. The Companies Registry cross-references particulars against other filings. If a receiver or manager has changed address but the register is not updated, correspondence from the Registry or creditors may not reach them, creating further compliance problems.

The portal accepts payment by credit card or through a registered account. To file electronically, you need a valid e-Services portal account. Complete the form online and upload supporting documents as PDF files. The system validates the form data against the company's registered particulars before accepting the submission.

Supporting Documents and Certified True Copies

When a change requires documentary evidence, such as a name change, the supporting document must be a certified true copy. Certification must be made by a person authorised under the Companies Ordinance, including a solicitor practising in Hong Kong, a certified public accountant registered with the Hong Kong Institute of Certified Public Accountants, a company secretary of a Hong Kong company, or a notary public. The certified true copy must bear the certifier's original signature and professional stamp or seal, the date of certification, and a statement confirming it is a true copy of the original. The certifier must also state their full name and professional capacity.

  • Mortgagee or Chargee (Body Corporate): Enter the full name of the corporate mortgagee or chargee currently registered.
  • OR: Use this section for a Receiver or Manager/Mortgagee or Chargee (Natural Person). Enter the Name in Chinese and the Name in English (Surname and Other Names). For Identification, provide the Partial Number of Hong Kong Identity Card (format: X(X)(X)(X)) or the Partial Number of Passport.

Only complete the items that have changed. Each changed item requires an Effective Date (DD/MM/YYYY).

  • (a) Name of Mortgagee or Chargee (Body Corporate): Enter the new name of the corporate mortgagee or chargee.
  • (b) Name in Chinese (Natural Person): Enter the new Chinese name.
  • (c) Name in English (Natural Person): Enter the new Surname and Other Names.
  • (d) Address: Enter the new address, starting with Flat/Floor/Block, then Building, Street/Estate/Lot/Village, District/City/Province/Postal Code, and Country/Region.
  • (e) Email Address: Enter the new email address.
  • (f) Partial Number of Hong Kong Identity Card: Enter the new partial ID number. The form notes that the full identification number must be provided on the separate PI-NM7 sheet.
  • (g) Passport: Enter the Issuing Country/Region and the Partial Number.
  • (h) Status: Tick the relevant box: Sole, Joint, or Joint and Several.

This page is not for public inspection. It is required only if the identification number of a natural person (Receiver, Manager, Mortgagee, or Chargee) has changed.

Tick the relevant Capacity box. Enter the person's Name in Chinese and Name in English (Surname and Other Names). Then provide the new full identification number:

  • (a) Hong Kong Identity Card (Full Number): Enter the complete HKID number, including the bracket digit.
  • (b) Passport: Enter the Issuing Country/Region and the Full Number.

Place this sheet at the end of the completed Form NM7.

5. 簽署 Signed

The form must be signed by a Director, Company Secretary, or Authorized Representative of the person or company named in Section 2 of this form. Enter the Name of the signatory, the Date (DD/MM/YYYY), and tick the box to indicate the capacity in which they are signing.
