A registered non-Hong Kong company uses Form NN6 Hong Kong non-Hong Kong company officers change to notify the Companies Registry of a change to its director or company secretary. This is the Part 16 (Cap. 622) equivalent of Forms ND2A and ND2B for local companies. The form captures appointments, cessations, and changes to officer particulars. File it within 15 days of the event.
What Changes Must Be Reported on Form NN6
Form NN6 covers three categories of change:
- Appointment of a new director or company secretary
- Cessation (resignation or removal) of an existing director or company secretary
- Change of particulars for an existing director or company secretary , residential address, name, or other personal details
Specify which type of change you are reporting. For each officer, provide their full name, correspondence address, and the date the change took effect. For an appointment, also confirm the person has consented to act.
Hong Kong Non-Hong Kong Company Officer Change NN6 Filing Deadline
The filing deadline is strict. Form NN6 must reach the Companies Registry within 15 days of the change. The clock starts on the date of the event, not when you receive confirmation. A director resigns on 1 March , the form must arrive by 16 March.
No statutory late fee applies to Form NN6 itself. But the Registry may refuse to register a change filed significantly out of time, leaving the company on the public record with outdated officer details. That creates compliance problems when the company files its annual return (Form NN3) or when third parties rely on the registered particulars.
NN6 Form Companies Registry Requirements
Complete Form NN6 in English or Chinese. A director, company secretary, or authorised representative of the non-Hong Kong company must sign it. If the change involves cessation of the sole director or sole company secretary, the person who ceased to hold office signs , or another person authorised by the company.
Supporting documents are not generally required. The Registry may request a certified true copy of the board resolution or other evidence if the filing appears irregular. File at the Registry’s office in Wan Chai or through the e-Services portal.
Change Director Secretary Non-Hong Kong Company Hong Kong
The process mirrors that for a local company, with one key difference: the non-Hong Kong company must also maintain a registered office in Hong Kong and an authorised representative ordinarily resident in Hong Kong. Form NN9 covers changes to the registered office address. If the change of director or secretary also affects the authorised representative, a separate notification may be required.
The Registry updates the public register once Form NN6 is accepted. The updated particulars appear on the company’s public record, searchable through the Registry’s online system. Accuracy matters. The Registry may take enforcement action , including striking off the company , if it cannot contact the company through its registered address or officers.
Filing Form NN6 Through the E-Services Portal
File electronically through the Companies Registry e-Services portal. Electronic filing is faster. The Registry processes electronic submissions within one working day. Paper filings by post or in person take longer and carry a higher risk of rejection if the form is incomplete or incorrectly signed.
The filing fee is HK$15 electronically, or HK$30 on paper. Fees are set by the Companies Registry and subject to change. Check the current schedule on the Registry’s website before filing.
Relationship to Other Forms for Non-Hong Kong Companies
Form NN6 is one of three key forms for registered non-Hong Kong companies under Part 16 of Cap. 622:
- Form NN1 (with IRBR2): Application for registration as a non-Hong Kong company
- Form NN3: Annual return, due within 42 days of the anniversary of registration
- Form NN9: Change of registered address
Filing Form NN6 because officers have changed? Check whether the registered address or authorised representative details also need updating. A change of director or secretary does not automatically update those records.
Consequences of Not Filing Form NN6
Miss the 15-day deadline and the public record shows outdated information. When the company files its annual return (Form NN3), the Registry compares the officer details against its current register. A mismatch can mean rejection.
Worse: if the Registry cannot contact the company because its registered officers are no longer correct, it may initiate striking-off proceedings. A struck-off non-Hong Kong company loses its ability to carry on business in Hong Kong and faces difficulties restoring its registration.
